Terms of Service

1. Description of Service

Handoff is a digital deliverable handoff platform that allows creative professionals to securely transfer large files, display watermarked previews, and gate final asset downloads behind a payment confirmation.

Handoff is not a bank, payment processor, or escrow agent. We provide the software layer to facilitate secure file transfer and generate cryptographic audit logs. All financial transactions are processed by third-party payment gateways (e.g., Stripe) or managed externally by the User.

2. Account Registration and Subscriptions

• Eligibility: You must be at least 18 years old to use the Service.
• Account Security: You are responsible for safeguarding your account credentials. Handoff is not liable for any loss or damage arising from unauthorized access to your account.
• Tiers and Billing: We offer a Free/Starter tier and paid Professional ("Pro") subscriptions. Pro subscriptions are billed monthly. You may cancel at any time, but we do not provide prorated refunds for partial months.
• Storage Limits: Users are subject to the storage caps allocated to their respective tiers. Handoff reserves the right to restrict new uploads or charge for overages if a User exceeds their tier's structural storage limit.

3. Payments, Fees, and Subscriptions

• Pure Subscription Model: Handoff operates entirely on flat-rate subscription pricing. We charge 0% platform transaction fees on the invoices processed between Freelancers and Clients.
• Third-Party Gateways: Payments processed via Stripe or external cross-border aggregators are subject to the terms and conditions of those respective providers. Handoff is not responsible for foreign exchange (FX) fees, processing delays, or withheld funds by third parties.
• Disputes and Audit Logs: Handoff provides cryptographic audit logs (tracking IPs, timestamps, and SHA-256 file hashes) to assist in chargeback disputes. However, Handoff makes no guarantee that these logs will result in a won dispute. The final decision rests with the cardholder's bank and the payment processor.

4. Intellectual Property and User Content

• Your Ownership: You retain all intellectual property rights to the files, videos, audio, and documents you upload ("User Content"). Handoff claims no ownership over your work.
• IP Transfer to Clients: Handoff acts as a delivery mechanism. The legal transfer of Intellectual Property rights from the Freelancer to the Client is governed by the independent contract between those two parties.
• License to Host: By uploading files, you grant Handoff a worldwide, royalty-free license strictly to host, store, watermark, encode, and transmit the files to fulfill the Service.
• Prohibited Content: You may not upload content that is illegal, infringes on third-party copyrights, contains malware, or violates any laws. Handoff reserves the right to immediately terminate accounts and delete files violating this policy.

5. Limitation of Liability and Disclaimers

• "AS IS" Basis: The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including warranties of merchantability or fitness for a particular purpose.
• Data Loss: While we utilize robust infrastructure (including resumable upload protocols), Handoff is not a backup service. You are solely responsible for maintaining backup copies of your files. We are not liable for any data loss, corruption, or failed uploads.
• Liability Cap: To the maximum extent permitted by law, Handoff’s total liability for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to Handoff in the twelve (12) months preceding the claim, or $100 USD, whichever is greater.

6. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Delhi, India, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

7. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes via email or a platform notification. Continued use of the Service constitutes your acceptance of the updated Terms.
